This course is designed for board members, executives, and policy-making teams within an organization to provide a foundation for effective governance, accountability, and policy structuring.

Day 1: Introduction to Governance and the Role of the Board Charter

  • Module 1: Fundamentals of Corporate Governance
    • Overview of corporate governance principles and importance.
    • Role of the board in governance and organizational oversight.
    • Case study: Governance structures in leading organizations.
  • Module 2: Understanding the Board Charter
    • Definition and purpose of a board charter.
    • Key components of an effective board charter: mission, roles, structure, and authority.
    • Differences between board charters and organizational by-laws.
  • Practical Session: Drafting Initial Charter Elements
    • Participants draft the mission, vision, and roles section for a hypothetical board charter.

Day 2: Developing an Effective Board Charter

  • Module 3: Defining Roles and Responsibilities
    • Clarifying the roles of board members, the chair, and committees.
    • Responsibilities of board members concerning accountability, decision-making, and oversight.
    • Best practices in board roles and committee structuring.
  • Module 4: Setting Up Effective Board Committees
    • Importance of committees (audit, finance, HR, governance) in board operations.
    • Structuring committees within the board charter.
    • Best practices for committee functions and cross-committee collaboration.
  • Workshop: Drafting Board Responsibilities and Structure
    • Participants work on drafting board roles and responsibilities, considering their organization’s structure and specific needs.

Day 3: Organizational Policy Development - Foundations and Frameworks

  • Module 5: Fundamentals of Policy Development
    • What is an organizational policy, and why is it essential?
    • Differences between policies, procedures, and guidelines.
    • Steps in the policy development process: analysis, drafting, review, and implementation.
  • Module 6: Policy Development Framework
    • Establishing a framework for consistent policy development.
    • Aligning policies with organizational goals and regulatory requirements.
    • Identifying areas where policies are required for effective governance.
  • Case Study Analysis and Practical Exercise
    • Participants analyze a sample policy framework and develop a preliminary draft for a key policy in their organization.

Day 4: Writing and Implementing Effective Policies

  • Module 7: Policy Writing Techniques and Best Practices
    • Language, format, and structure in policy writing.
    • Making policies clear, actionable, and accessible.
    • Reviewing and testing policies with stakeholders for relevance and impact.
  • Module 8: Policy Implementation and Communication

    • Techniques for policy dissemination and communication across the organization.
    • Monitoring, evaluating, and updating policies to stay relevant.
  • Workshop: Drafting a Policy Document
    • Participants draft a full policy document, considering format, language, and implementation strategies.

Day 5: Board Charter and Policy Review, Approval, and Compliance

  • Module 9: Approval and Compliance Mechanisms
    • Steps for board charter and policy approval: board review, revisions, and sign-off.
    • Ensuring compliance and alignment with legal and regulatory requirements.
    • Establishing a cycle for policy review, renewal, and compliance monitoring.
  • Module 10: Workshop and Presentation
    • Participants present their board charter elements and policy drafts.
    • Peer and instructor feedback on drafts with suggestions for improvement.

Description

  1. Understand the Role and Structure of Board Charters
    Equip participants with knowledge of board charters' purpose, structure, and essential elements, emphasizing how charters support governance, strategic alignment, and accountability.
  2. Define Board Roles and Responsibilities Effectively
    Provide insights on delineating board members’ roles and responsibilities within the charter, including committees' structure and specific responsibilities to enhance decision-making and oversight.
  3. Establish Policy Development Frameworks
    Develop an understanding of frameworks for creating, drafting, and implementing organizational policies that align with strategic goals and ensure regulatory compliance.
  4. Develop Practical Skills in Policy Writing
    Improve participants' skills in writing clear, accessible, and effective policies that guide organizational behavior, enhance compliance, and address risk management.
  5. Implement and Communicate Policies Organization-Wide
    Offer techniques for rolling out policies effectively across all organizational levels, ensuring buy-in, adherence, and smooth integration of new policies into existing processes.
  6. Strengthen Compliance and Monitoring Mechanisms
    Teach participants how to establish compliance and monitoring processes for charters and policies, enabling ongoing relevance, adaptation to regulatory changes, and continuous improvement.

    Use case studies and practical exercises to demonstrate best practices, illustrating successful governance models and policy frameworks applicable to a wide range of organizations.

GENERAL NOTES
i.   The clients have many options on where they would wish to have the training
ii. The client should communicate their preferred training venue at least seven days before the training date failure to which the training shall take place in Nairobi.
iii. This course is delivered by our seasoned trainers who have vast experience as expert professionals in the respective fields of practice. The course is taught through a mix of practical activities, theory, group works and case studies.
iii. Training manuals and additional reference materials are provided to the participants.
iv. Upon successful completion of this course, participants will be issued with a Chania finance consultancy certificate.
v.   The onsite training fee covers tuition fees, training materials, tea at 10am, lunch, tea at 4pm, training venue and a certificate on completion. Accommodation and travel may be arranged for our participants upon request.
vi.   The online training fee covers tuition fees, training materials, and a certificate on completion.
